Vemly terms of sale (version 2026-10-12.1)
1. Who sells
Arthur Dimeglio, entrepreneur individuel (EI), operating the Vemly platform, which operates the website www.vemly.ai and the Vemly mobile app ("Vemly").
SIREN: 882 126 683. SIRET: 882 126 683 00037.
Address: 41 route du Cap, 83230 Bormes-les-Mimosas, France.
Contact: contact@vemly.ai.
2. What Vemly sells
Vemly sells one thing: its service as an intermediary. It puts businesses and developers in touch and gives them the tools to agree: the list of projects, the profiles, the messages, and a contract that both sides sign online.
Vemly does not sell the work itself. The work is agreed between a client and a developer, in a contract that binds the two of them, not Vemly.
Vemly also offers members an optional subscription, Vemly Pro, described below.
3. What is free
Reading the public pages, creating an account and taking part in the community are free.
Vemly is free for clients: posting a project and getting offers costs nothing. The client pays the agreed price and nothing more.
Applying to be selected as a developer is free.
4. Price of the service
Vemly takes a commission of 10% of the agreed price of a deal.
Payment fees of 5% of the agreed price pay for the payment provider's service. They are not part of Vemly's share.
Both are counted on the agreed price and taken from the developer's share: the developer receives the agreed price minus 15%. They are due only when a deal is done. Neither is charged to the client.
Before sending an offer, the developer sees on the screen the price, Vemly's share, the payment fees and what he or she will receive.
5. Who the paid service is for
The commission concerns developers selected by Vemly who win a deal. The missions marketplace is for professionals only: businesses and developers confirm, when they accept the agreement for their side, that they act for their business or professional activity, not as consumers.
6. Payment
Vemly does not handle funds. Payments are handled by a third-party payment provider that is licensed to do so, under its own terms.
When online payment is open, the client pays the full agreed price up front to that provider, which holds it while the work is done. The developer is paid, the agreed price minus Vemly's share and the payment fees, when the client confirms delivery.
Until online payment is open on the website, a signed deal stays in “awaiting payment” and no payment goes through the platform.
7. The Vemly Pro subscription
Vemly Pro is an optional subscription for members of the community. It costs $9.99 per month; taxes are added at checkout where they apply.
Vemly Pro is billed monthly in advance. It renews automatically each month until you cancel.
You can cancel at any time from the Vemly Pro page. Cancellation takes effect at the end of the billing period already paid; you keep Vemly Pro until then.
Refunds: you can ask for a refund within 14 days of a payment by writing to contact@vemly.ai. It is granted on request.
On the website, our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for these orders. Paddle provides customer service for payment questions and handles returns.
In the iPhone app, the subscription is sold by Apple through the App Store. Apple's terms apply to billing and refunds for those purchases.
8. Invoices and taxes
Each party is responsible for its own taxes, including VAT, and for its own invoices. The developer invoices the client. Vemly invoices its share to the developer.
9. Disagreements and refunds
A disagreement about the work is between the client and the developer. Either side can open a dispute on the site; Vemly may help them talk and may suggest a solution, and decides nothing for them.
While a dispute is open, the payment provider keeps holding the money. It is released as the two parties agree, or as a court decides, under the provider's rules.
10. The texts that apply
These terms of sale sum up, in one place, what is written in the terms of use and in the platform agreement for each side. Those texts, and the contract signed for each deal, are the ones that apply. If this page and the agreement you accepted differ, the agreement applies.
11. Governing law
Governing law: French law.
Competent court: the courts of Toulon (France), which alone are competent when you act as a professional.
