Vemly terms of use (version 2026-10-12.1)
1. Who we are
The website www.vemly.ai and the Vemly mobile app ("Vemly") are operated by Arthur Dimeglio, entrepreneur individuel (EI), operating the Vemly platform.
SIREN: 882 126 683. SIRET: 882 126 683 00037.
Address: 41 route du Cap, 83230 Bormes-les-Mimosas, France.
Contact: contact@vemly.ai.
2. What Vemly is
Vemly is an online marketplace. Businesses post projects. Developers who build with AI ("vibe coders"), whose past work we have looked at, send their offers.
Vemly gives both sides the tools to find each other and agree: the list of projects, the profiles, the messages, and a contract that both sides sign online.
Vemly and its founder may also post projects and may also work as a developer on the platform. When they do, it is shown on the project or on the profile.
3. What Vemly is not
Vemly is not a party to the contract between a client and a developer. That contract binds the client and the developer, not Vemly.
Vemly is not the employer of developers. Developers are independent.
Vemly is not a bank or a payment institution. Vemly does not receive, hold or transfer the money of a project. Payments are handled by a third-party payment provider that is licensed to do so. Until that provider is connected to the site, no payment goes through the platform.
Vemly does not do, check or guarantee the work a developer delivers. Looking at a developer's past work before accepting them is a selection, not a guarantee.
4. Your account
Anyone can read the public pages of Vemly without an account. To take part (publish, answer, send an offer, write to someone), you need an account.
You must be at least 16 years old to create an account.
You give true information and you keep your password to yourself. One account is for one person or one business.
A developer account can see projects only after Vemly has approved it. Vemly may refuse a request, and may remove access when these terms are not respected.
The missions marketplace of Vemly is called Vemly Connect. Businesses and developers also accept, when they sign up, the Vemly Connect platform agreement for their side. It adds to these terms.
5. Projects, offers and content
What you post (a project, an offer, a profile, a message) must be true, lawful, and yours or allowed to you.
You keep the rights to what you post. You allow Vemly to show it on the site so the service can work.
The rights to delivered work are set in the contract signed by the client and the developer.
6. What members publish
Any member can publish on Vemly: their profile, links in the Library, launches, and messages in the community areas. It is published right away, with no review before.
You are responsible for what you publish. You publish nothing illegal, misleading or insulting, no unsolicited advertising, and you have the right to share what you share.
What you publish stays yours. You allow Vemly to show it on the website for as long as you do not remove it.
Vemly does not check the links or the content published by members, and is not its author. You follow a link at your own risk.
Any member can report content with the "Report" button, or by writing to contact@vemly.ai. Vemly may remove content, and pause or close an account that does not respect these rules.
You can block another member and report a member or a private message to Vemly. When you report a private message, Vemly's team can read that message and the few messages around it in order to review the report, and may pause an account that breaks these terms.
7. Points and badges
Vemly shows points, a level and badges based on your contributions. They are recognition only: they have no money value, cannot be exchanged and give no right to any benefit.
Points are calculated by Vemly. They go down if content is removed. Vemly may change the rules for points and badges.
With a Pro subscription, the points you earn while you are subscribed count one and a half times for your own total and level. Rankings and competitions use standard points for everyone.
8. Price, commission and payment fees
Vemly is free for clients: posting a project and getting offers costs nothing. The client pays the agreed price and nothing more.
Vemly takes a commission of 10% of the agreed price. Payment fees of 5% of the agreed price pay for the payment provider's service. Both are taken from the developer's share, and only when a deal is done.
9. Payments
Vemly does not handle funds. When online payment opens, the client will pay the payment provider, which will hold the amount while the work is done and pay the developer on delivery.
That provider has its own terms and may ask for identity checks. They will apply on top of these terms.
10. What you answer for
You are responsible for what you post, send, promise and deliver, and for respecting the law and the rights of other people.
If someone makes a claim against Vemly because of your content, your work, or your failure to respect this agreement or the law, you cover Vemly's reasonable costs, including legal costs, and any amount Vemly has to pay because of it.
11. Limits of Vemly's responsibility
Vemly commits to running the website with care. This is a duty of care, not a promise of result. The website is provided as it is: it can be interrupted, changed, or contain errors, and Vemly does not promise any number of projects, offers, clients or any income.
Vemly is not responsible for: the work a developer delivers, its quality, its delays, its security or its lawfulness; what a client asks for, says or pays; disagreements between users; content and links published by users; the services of third parties (payment provider, hosting, AI tools); or events outside its reasonable control.
Vemly is never responsible for indirect loss: lost profit, lost revenue, lost data, lost opportunity or harm to reputation.
In every case, the total amount Vemly may owe you, for all claims together, is limited to 100 euros.
A claim against Vemly must be made within one year after the event. After that, it is closed.
These limits apply as far as the law allows. They do not apply to fraud or gross fault by Vemly, to bodily injury, or to the rights that the law gives consumers and that cannot be removed.
12. Pausing and closing
Vemly may refuse, hide or remove a project, an offer, a profile or any content, and may pause or close an account, when this agreement, the law, or the safety of the website or of other users requires it. In case of fraud, serious breach or legal risk, this is immediate. Vemly tells you why by email, unless the law forbids it.
Vemly may also end this agreement for any other reason, with 30 days' notice by email.
No compensation is owed for a pause or a closing made under this agreement. Deals already signed stay governed by their contract.
13. General
The records of the website (signatures, dates, messages, versions of the texts) count as proof between us, unless you prove them wrong.
If one clause is not valid, the others stay in force. Not using a right is not giving it up.
This text is written in English. The text you accepted applies.
Before going to court, the parties try to settle the matter by writing to each other for 30 days.
14. Disagreement between users
If there is a disagreement about a deal, either side can open a dispute on the site. Vemly then looks at the situation with both sides and helps them find an agreement.
15. Changes and end
Vemly may change these terms. The new version is published on this page with its date.
You can delete your account at any time, in the app (Settings) or on the website at www.vemly.ai/account/delete. What is erased and what is kept is shown there before you confirm.
A deal that is signed and not finished must be finished or settled first. You can also write to contact@vemly.ai.
16. Governing law
Governing law: French law.
Competent court: the courts of Toulon (France), which alone are competent when you act as a professional.
If you are a consumer, you keep the rights the law of your country gives you.
