Vemly partner program agreement (version 2026-10-11.2)
1. Who we are
The Vemly platform is run by Arthur Dimeglio, entrepreneur individuel (EI), operating the Vemly platform.
SIREN: 882 126 683. SIRET: 882 126 683 00037.
Address: 41 route du Cap, 83230 Bormes-les-Mimosas, France.
Contact: contact@vemly.ai.
In this text, “Vemly” means this operator.
2. For professionals
The partner program is for professionals only. By joining it, you confirm that you act for your business or professional activity, not as a consumer.
3. The program
A partner tells developers and companies about Vemly, with a personal link.
Vemly looks at your request and decides to let you in or not. Vemly may take this access back.
You are independent. You are not an employee or an agent of Vemly, and you cannot sign anything in Vemly's name.
4. Your link
When someone follows your link, the website remembers it for 60 days on their device.
If they then make a developer account or a company account, that account is tied to you.
An account has only one partner: the first link it followed. This does not change afterwards.
You cannot tie your own account to yourself. An account that existed before it followed your link does not count.
5. What you can earn
For each account tied to you, you can earn 20% of Vemly's commission on each of its completed deals (work delivered and paid), for 12 months from the day that account was made.
If both sides of a deal were brought by partners, each side gives its own 20%.
A deal that is cancelled, or never completed, gives nothing.
Vemly does not promise any income. It all depends on the deals that the accounts you bring really make.
6. Verification and payouts
Before any payout, you must pass a verification (KYB) done by our payment provider.
Payouts are not open yet. They open once the payment provider is connected to the website. Until then, what you can earn is noted in your console, and nothing is paid.
7. What you promise
You talk about Vemly honestly. You promise nothing that Vemly does not promise.
No bulk unsolicited messages, no ads that pretend to be Vemly, no buying search keywords on Vemly's name.
You follow the law where you act, and you take care of your own taxes.
8. What you answer for
You are responsible for what you post, send, promise and deliver, and for respecting the law and the rights of other people.
If someone makes a claim against Vemly because of your content, your work, or your failure to respect this agreement or the law, you cover Vemly's reasonable costs, including legal costs, and any amount Vemly has to pay because of it.
9. Limits of Vemly's responsibility
Vemly commits to running the website with care. This is a duty of care, not a promise of result. The website is provided as it is: it can be interrupted, changed, or contain errors, and Vemly does not promise any number of projects, offers, clients or any income.
Vemly is not responsible for: the work a developer delivers, its quality, its delays, its security or its lawfulness; what a client asks for, says or pays; disagreements between users; content and links published by users; the services of third parties (payment provider, hosting, AI tools); or events outside its reasonable control.
Vemly is never responsible for indirect loss: lost profit, lost revenue, lost data, lost opportunity or harm to reputation.
In every case, the total amount Vemly may owe you, for all claims together, is limited to 100 euros.
A claim against Vemly must be made within one year after the event. After that, it is closed.
These limits apply as far as the law allows. They do not apply to fraud or gross fault by Vemly, or to bodily injury.
10. Pausing and closing
Vemly may refuse, hide or remove a project, an offer, a profile or any content, and may pause or close an account, when this agreement, the law, or the safety of the website or of other users requires it. In case of fraud, serious breach or legal risk, this is immediate. Vemly tells you why by email, unless the law forbids it.
Vemly may also end this agreement for any other reason, with 30 days' notice by email.
No compensation is owed for a pause or a closing made under this agreement. Deals already signed stay governed by their contract.
11. General
The records of the website (signatures, dates, messages, versions of the texts) count as proof between us, unless you prove them wrong.
If one clause is not valid, the others stay in force. Not using a right is not giving it up.
This text is written in English. The text you accepted applies.
Before going to court, the parties try to settle the matter by writing to each other for 30 days.
12. Changes and ending
Vemly may change this agreement. A new version is then offered to you, and it only applies to you once you accept it.
You can leave the program by writing to Vemly. Vemly may remove you if you do not respect this agreement; in that case, deals completed after the removal give nothing.
13. Governing law
Governing law: French law.
Courts in charge: the courts of Toulon (France), which alone are competent when you act as a professional.
