Vemly Connect platform agreement for clients (version 2026-10-11.2)
1. Who we are
The Vemly platform is run by Arthur Dimeglio, entrepreneur individuel (EI), operating the Vemly platform.
SIREN: 882 126 683. SIRET: 882 126 683 00037.

In this text, “Vemly” means this operator.
Vemly Connect is the name of the missions marketplace of the Vemly website, where companies post projects and selected developers answer them.
2. For professionals
Vemly Connect is for professionals only. By using it, you confirm that you act for your business or professional activity, not as a consumer.
3. What Vemly Connect does
On Vemly Connect, companies post projects and developers (“vibe coders”) approved by Vemly answer them.
You are free to choose the developer you work with. The work is done by that developer, not by Vemly, except for projects posted by Vemly.
4. Free for clients
Posting a project and using Vemly Connect is free for clients.
5. Deals and payment
When you choose a developer, a contract is created on the website for that deal. Both parties sign it on the website.
You pay the full agreed price up front to our payment provider, a licensed third party. Vemly does not receive or hold this money: the provider holds it while the work is done. The developer is paid when you confirm delivery.
Until online payment is open on the website, a signed deal stays in “awaiting payment”.
6. What you promise
You give true information about your company and your projects.
You post nothing illegal, and you have the right to use what you send (texts, images, data).
You look at the delivered work and you confirm delivery, or say what is wrong, within a reasonable time.
7. Your data
Your email and phone are not shown to developers. You talk with them through the website's messages.
While a project you posted is open, it is listed publicly on the website and in the app: everyone can read its title, description, type, budget and deadline, with your country but without your company name. The developers approved by Vemly can also read your company name. Nobody sees your email or your phone.
Your company's name, country, description and website are listed in a directory read by members who subscribe to Vemly Pro. Those members can send you a message; you can turn these messages off in your settings. Your projects are never shown in this directory.
When you open a member's public profile while signed in, that member can see that your company viewed it: your company's name and the day, never your own name, email or phone. You can turn this off with "Browse profiles privately" in your settings.
Vemly uses your data to run the website and to write to you about your account.
8. Vemly's role
Vemly runs the website. It is an intermediary: it puts clients and developers in touch and gives them tools. It is not a party to the work agreed between a client and a developer, and it does not do, direct, check or guarantee that work.
When Vemly approves a developer, it means Vemly looked at their past work. It is not a guarantee of skill, result, deadline or behaviour. Vemly does not guarantee either that a client is who they say they are, or that they will pay.
Each party checks for itself who it chooses to work with.
9. Working through Vemly Connect
For 12 months after a client and a developer first got in touch through Vemly Connect, the work they do together goes through Vemly Connect.
You do not ask a developer you met on Vemly Connect to work outside Vemly Connect in order to avoid Vemly's share.
Vemly may close the account of anyone who goes around the platform.
10. Payment provider and taxes
Payments are handled only by the payment provider, under its own terms, which you must accept to pay or to be paid. Vemly never receives, holds or moves the money of a deal, and is not responsible for the provider's delays, refusals, identity checks or failures.
Each party is responsible for its own taxes, including VAT, and for its own invoices. The developer invoices the client. Vemly invoices its share to the developer.
11. What you answer for
You are responsible for what you post, send, promise and deliver, and for respecting the law and the rights of other people.
If someone makes a claim against Vemly because of your content, your work, or your failure to respect this agreement or the law, you cover Vemly's reasonable costs, including legal costs, and any amount Vemly has to pay because of it.
12. Limits of Vemly's responsibility
Vemly commits to running the website with care. This is a duty of care, not a promise of result. The website is provided as it is: it can be interrupted, changed, or contain errors, and Vemly does not promise any number of projects, offers, clients or any income.
Vemly is not responsible for: the work a developer delivers, its quality, its delays, its security or its lawfulness; what a client asks for, says or pays; disagreements between users; content and links published by users; the services of third parties (payment provider, hosting, AI tools); or events outside its reasonable control.
Vemly is never responsible for indirect loss: lost profit, lost revenue, lost data, lost opportunity or harm to reputation.
In every case, the total amount Vemly may owe you, for all claims together, is limited to the share Vemly actually received on your deals during the 12 months before the event, or 100 euros if that is higher.
A claim against Vemly must be made within one year after the event. After that, it is closed.
These limits apply as far as the law allows. They do not apply to fraud or gross fault by Vemly, or to bodily injury.
13. Disagreements between client and developer
Either party can open a dispute on the website. Vemly may help the parties talk and may suggest a solution. Vemly is not a judge or an arbitrator: it decides nothing for the parties, and what it suggests does not bind them.
While a dispute is open, the payment provider keeps holding the money. The money is released as the two parties agree, or as a court decides, under the provider's rules.
A disagreement between a client and a developer is settled between them. Vemly cannot be made a party to it.
14. Pausing and closing
Vemly may refuse, hide or remove a project, an offer, a profile or any content, and may pause or close an account, when this agreement, the law, or the safety of the website or of other users requires it. In case of fraud, serious breach or legal risk, this is immediate. Vemly tells you why by email, unless the law forbids it.
Vemly may also end this agreement for any other reason, with 30 days' notice by email.
No compensation is owed for a pause or a closing made under this agreement. Deals already signed stay governed by their contract.
15. General
The records of the website (signatures, dates, messages, versions of the texts) count as proof between us, unless you prove them wrong.
If one clause is not valid, the others stay in force. Not using a right is not giving it up.
This text is written in English. The text you accepted applies.
Before going to court, the parties try to settle the matter by writing to each other for 30 days.
16. Changes and ending
Vemly may change this agreement. A new version is then offered to you, and it only applies to you once you accept it.
You can close your account by writing to Vemly. Vemly may close an account that does not respect this agreement.
17. Governing law
Governing law: French law.
Courts in charge: the courts of Toulon (France), which alone are competent when you act as a professional.
